These Terms of Service govern your access to and use of the DataVision Analytics website and services. By accessing or using our platform, you acknowledge that you have read, understood, and agree to be bound by these terms.
By accessing or using the DataVision Analytics website and services, you agree to comply with and be legally bound by these Terms of Service. If you do not agree to these terms, you must immediately discontinue use of our platform. You must be at least 18 years of age or have reached the age of majority in your jurisdiction to use our services. If you are accessing our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.
DataVision Analytics provides AI-powered business intelligence, predictive analytics, data consulting, and strategic advisory services to organizations across Canada. Our services include but are not limited to: development and deployment of machine learning models, design and implementation of business intelligence dashboards, data engineering and integration services, analytics training and enablement programs, process automation solutions, and strategic data governance consulting. The scope of services provided to each client is defined in individual service agreements or statements of work. Our platform may include access to proprietary analytical tools, reports, visualizations, and consulting expertise delivered through a combination of software platforms and professional services engagements.

All content, materials, software, tools, reports, methodologies, frameworks, algorithms, designs, trademarks, logos, and other intellectual property displayed or provided through DataVision Analytics services are owned by or licensed to DataVision Analytics and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws. Unless expressly authorized in a separate written agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services solely for your internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our intellectual property without prior written consent. Client data and deliverables created specifically for your organization under a service agreement are subject to the ownership and licensing terms defined in that agreement.
DataVision Analytics provides its services on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted access. We do not warrant that our services will meet your specific requirements, that the results obtained from our analytics will be accurate or reliable, that our platform will be error-free or secure, or that defects will be corrected. Predictive models, forecasts, and analytical insights are based on historical data and statistical methodologies that involve inherent uncertainty. No representation or warranty is made regarding the accuracy of predictions, projections, or recommendations. You acknowledge that business decisions based on our services are made at your own discretion and risk.
To the maximum extent permitted by applicable law, DataVision Analytics, its officers, directors, employees, consultants, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use our services, even if we have been advised of the possibility of such damages. In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability shall be limited to the maximum extent permitted by law. In no event shall DataVision Analytics' total aggregate liability to you for all claims arising from or related to the services exceed the amount you paid to us for services in the twelve months preceding the claim, or five hundred Canadian dollars, whichever is greater. Some jurisdictions do not allow limitations on implied warranties or the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to defend, indemnify, and hold harmless DataVision Analytics, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms of Service; (b) your use or misuse of our services; (c) your breach of any representation, warranty, or obligation under these terms; (d) your violation of any third-party rights, including intellectual property rights or privacy rights; or (e) any harm caused to any third party through your use of the services. This indemnification obligation will survive termination of your use of our services.
Our website and services may contain links to third-party websites, applications, or services that are not owned or controlled by DataVision Analytics. We have no control over and assume no responsibility for the content, privacy policies, terms of service, or practices of any third-party websites or services. We do not endorse or make any representations about third-party websites or services. You acknowledge and agree that DataVision Analytics shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such third-party content, goods, or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit or use.
Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using our services, you consent to the collection and use of information in accordance with our Privacy Policy. We process personal data in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation. These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising out of or related to these terms or your use of our services shall be instituted exclusively in the courts located in Toronto, Ontario, Canada. You irrevocably consent and submit to the exclusive jurisdiction and venue of such courts. If you are accessing our services from outside Canada, you are responsible for compliance with local laws in your jurisdiction.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms of Service or your use of our services, you agree to first attempt to resolve the dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute through good-faith negotiation within thirty days of receiving notice of the dispute. If the dispute cannot be resolved through informal negotiation, either party may initiate binding arbitration in accordance with the Arbitration Act of Ontario. The arbitration shall be conducted by a single arbitrator appointed by mutual agreement or, failing agreement, in accordance with the rules of the ADR Institute of Canada. The arbitration shall take place in Toronto, Ontario, and shall be conducted in English. The arbitrator's decision shall be final and binding on both parties. Notwithstanding the foregoing, either party may seek equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information. Nothing in this section shall prevent either party from seeking interim or provisional relief from a court of competent jurisdiction pending resolution of the arbitration.
We reserve the right to suspend or terminate your access to our services at any time, with or without cause, with or without notice, and without liability. Grounds for termination include but are not limited to: violation of these Terms of Service, fraudulent or illegal activity, non-payment of fees, abusive behavior toward our staff or other users, or any conduct that we determine in our sole discretion to be harmful to our business, reputation, or other users. Upon termination, your right to use the services will immediately cease. You may terminate your use of our services at any time by discontinuing access to our platform and notifying us in writing. Sections of these terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification obligations, and dispute resolution provisions.
DataVision Analytics reserves the right to modify, update, or replace these Terms of Service at any time at our sole discretion. Material changes to these terms will be communicated through a prominent notice on our website homepage at least fourteen days before the changes take effect. Your continued use of our services after the effective date of any changes constitutes your acceptance of the revised terms. If you do not agree to the modified terms, you must discontinue use of our services. It is your responsibility to review these terms periodically to stay informed of updates. The "Last Updated" date at the top of this document indicates when these terms were last revised.
If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed from these terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these terms, and the remaining provisions shall continue in full force and effect.
These Terms of Service, together with our Privacy Policy and any additional terms or agreements applicable to specific services, constitute the entire agreement between you and DataVision Analytics regarding your use of our services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral. No waiver of any term or condition of these terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
